1. Acceptance of Terms

By accessing or using the Live Translate Live website, application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Live Translate Live ("we," "us," or "our"). You represent and warrant that you have the legal capacity to enter into this agreement.

2. Description of Service

Live Translate Live is a web-based, real-time translation application that allows two users to converse in different languages, with translations displayed simultaneously on a phone, tablet, computer, or any screen. The Service is provided on an "as is" and "as available" basis.

3. Intended Use — Entertainment and Informational Purposes Only

THE SERVICE IS PROVIDED STRICTLY FOR ENTERTAINMENT AND INFORMATIONAL PURPOSES ONLY. LIVE TRANSLATE LIVE IS NOT A CERTIFIED, SWORN, OR PROFESSIONAL TRANSLATION SERVICE. THE TRANSLATIONS PROVIDED BY THE SERVICE ARE GENERATED BY AUTOMATED SYSTEMS AND MAY CONTAIN ERRORS, INACCURACIES, OMISSIONS, OR MISINTERPRETATIONS.

You expressly acknowledge and agree that you shall not rely on the Service for any purpose where translation accuracy is critical, including but not limited to: legal proceedings, contracts, medical communications, financial transactions, immigration or asylum matters, regulatory compliance, emergency communications, or any other context in which an inaccurate translation could result in harm, loss, or legal liability.

Any reliance you place on the translations provided by the Service is strictly at your own risk.

4. Accounts, Credits, and Payments

4.1 Account Ownership

Your account is personal to you. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4.2 Non-Transferability

YOUR ACCOUNT IS NON-TRANSFERABLE. YOU MAY NOT SELL, TRADE, GIFT, BEQUEATH, OR OTHERWISE TRANSFER YOUR ACCOUNT TO ANY OTHER PERSON OR ENTITY UNDER ANY CIRCUMSTANCES. ANY ATTEMPT TO DO SO SHALL BE NULL AND VOID AND MAY RESULT IN THE IMMEDIATE TERMINATION OF YOUR ACCOUNT WITHOUT REFUND.

4.3 Credits

CREDITS PURCHASED THROUGH THE SERVICE ARE NON-TRANSFERABLE, NON-EXCHANGEABLE, AND NON-REFUNDABLE. YOU MAY NOT SELL, TRADE, BARTER, AUCTION, OR OTHERWISE TRANSFER CREDITS TO ANY THIRD PARTY. CREDITS HAVE NO CASH VALUE AND CANNOT BE REDEEMED FOR CASH. WE RESERVE THE RIGHT TO MODIFY THE PRICING OF CREDITS AT ANY TIME. UNUSED CREDITS MAY BE SUBJECT TO EXPIRATION AS DETERMINED BY US IN OUR SOLE DISCRETION.

4.4 All Sales Final — No Refunds

ALL PURCHASES MADE THROUGH THE SERVICE ARE FINAL. NO REFUNDS, RETURNS, EXCHANGES, CREDITS, OR CHARGEBACKS WILL BE ISSUED UNDER ANY CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO: DISSATISFACTION WITH THE SERVICE, TECHNICAL ISSUES, USER ERROR, FAILURE TO USE PURCHASED CREDITS, ACCOUNT TERMINATION, OR CHANGES TO THE SERVICE. BY COMPLETING A PURCHASE, YOU EXPRESSLY WAIVE ANY RIGHT TO A REFUND.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You shall not:

Use the Service for any unlawful, fraudulent, or malicious purpose.
Attempt to interfere with, disrupt, or compromise the integrity or security of the Service.
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
Use the Service to transmit any content that is defamatory, obscene, threatening, abusive, or that infringes on any third-party rights.
Use automated scripts, bots, or other tools to access or interact with the Service without our express written consent.
Resell, sublicense, or commercially exploit the Service or any part thereof without our express written consent.
Misrepresent your identity or impersonate any person or entity.

We reserve the right to suspend or terminate your access to the Service immediately, without notice or refund, if we determine, in our sole discretion, that you have violated any of these Terms.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT; (B) THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THAT THE TRANSLATIONS PROVIDED WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (D) THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

No advice or information, whether oral or written, obtained from us or through the Service, shall create any warranty not expressly stated in these Terms.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIVE TRANSLATE LIVE, ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR TEN CANADIAN DOLLARS (CAD $10.00), WHICHEVER IS LESS.

You acknowledge and agree that the limitations of liability set forth in this section are fundamental elements of these Terms and that the Service would not be provided to you without such limitations.

8. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK. YOU ASSUME FULL RESPONSIBILITY FOR ANY AND ALL CONSEQUENCES ARISING FROM YOUR USE OF OR RELIANCE ON THE TRANSLATIONS, OUTPUTS, OR ANY OTHER CONTENT PROVIDED BY THE SERVICE. YOU AGREE THAT WE SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DECISIONS, ACTIONS, OR OMISSIONS MADE BY YOU BASED ON THE SERVICE.

9. Indemnification

You agree to indemnify, defend, and hold harmless Live Translate Live, its owners, directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your reliance on any translation or output provided by the Service; or (e) any dispute between you and any third party arising from your use of the Service.

10. Intellectual Property

All content, features, functionality, design, trademarks, service marks, trade names, logos, and intellectual property related to the Service are and shall remain the exclusive property of Live Translate Live. Nothing in these Terms grants you any right, title, or interest in or to the Service or any of its components, except for the limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, for any reason or no reason, with or without notice, and without liability to you. Upon termination, your right to use the Service ceases immediately. Any credits, balances, or unused portions of your account are forfeited upon termination and are non-refundable.

You may terminate your account at any time by discontinuing use of the Service. Termination does not entitle you to any refund of fees or credits.

The following sections shall survive termination of these Terms: Sections 3, 6, 7, 8, 9, 10, 13, 14, and 15.

12. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time and without notice or liability. We may also update these Terms from time to time. Changes will be posted on our website with a revised effective date. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.

13. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to your use of the Service shall be governed by and construed in accordance with the laws of Canada and the province in which Live Translate Live is domiciled, without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in Canada for the resolution of any dispute arising out of or in connection with these Terms.

14. Dispute Resolution

Prior to initiating any formal legal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for a period of at least thirty (30) days. If the dispute cannot be resolved informally, you agree that any legal action or proceeding shall be brought exclusively in the courts of competent jurisdiction in Canada.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST LIVE TRANSLATE LIVE.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and Live Translate Live with respect to your use of the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

17. Waiver

The failure of Live Translate Live to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if made in writing and signed by an authorized representative of Live Translate Live.

18. Force Majeure

Live Translate Live shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, pandemics, or other force majeure events.
